SWTCH Equipment Terms and Conditions
1. Quotes and Proposals
All quotes and proposals are valid for sixty (60) days from the date of issue.
2. Pricing & Taxes
All prices are exclusive of applicable taxes and shipping charges, which will be calculated at the time of invoicing. Any taxes or shipping charges on quotes or in proposals are only provided as estimates.
3. Payment Terms
A 25% deposit is required on all orders unless otherwise stated in writing by SWTCH. A higher deposit may be required on non-stock items, special order products, or items requiring custom modifications.
For first-time customers, deliveries are processed on a pre-payment basis. All other orders are subject to Net 30-day payment terms.
Late payments will incur interest charges at a rate of 2% per month.
4. Delivery & Shipping
The customer must accept delivery of equipment during normal business hours. Failure to do so may result in additional costs, including but not limited to storage and freight charges, which will be billed in accordance with SWTCH’s standard rates or applicable local charges. Once an order is confirmed by the customer, SWTCH will process it in a timely manner. For non-stock items, special order products, or items requiring custom modifications, extended lead times may apply.
4.2 Back-Ordered & Out-of-Stock Items
If an item is out of stock or on back order, SWTCH will notify the customer as soon as possible with an estimated availability date. SWTCH will provide updates regarding revised delivery timelines and offer alternative product options if available. Orders containing both in-stock and back-ordered items may be shipped separately at the customer’s request, subject to additional shipping charges.
SWTCH is not responsible for delays caused by any circumstances out of SWTCH’s reasonable control, including delays caused by third-party manufacturers or supply chain disruptions, but SWTCH will endeavour to minimize any inconvenience to the customer.
4.3 Shipping Terms
All shipments are made on a FOB Shipping Point (Origin) basis with Freight Prepaid and charged back to the customer. SWTCH will select the shipping carrier at its discretion. Customers who prefer to arrange their own shipping must inform SWTCH before order confirmation to ensure proper coordination of logistics and pickup schedules.
5. Return & RMA Policy
For returns which are not based on a warranty claim under Section 6, SWTCH, at its sole discretion, may accept returns for eligible chargers, hardware, and accessories, subject to the following conditions:
The return request must be made within 90 days of receiving the product.
Items must be in new, unused, and saleable condition, and in original packaging.
A 30% restocking fee will be applied to all eligible returns.
The customer is responsible for all return shipping costs.
For all return inquiries, customers must contact SWTCH to confirm eligibility and to obtain a Return Merchandise Authorization (RMA) number prior to shipping any product back to SWTCH. Unauthorized returns will not be accepted or credited. Credit will be granted only after SWTCH inspects and verifies the returned merchandise.
5.2 Non-Returnable Items
The following items are not eligible for return:
All DC Fast Chargers (DCFCs)
Software and subscriptions
Special order or non-inventory items
6. Warranty
SWTCH warrants its Electric Vehicle Supply Equipment (EVSE) against material defects in materials and workmanship for a minimum of twenty-four (24) months from the date of invoice. Warranty periods vary by hardware model, and an extended warranty may be available at additional cost.
SWTCH warrants its non-EVSE equipment against material defects in materials and workmanship for a period of twelve (12) months from the date of invoice, but does not include any labour charges to uninstall or install affected units.
During the applicable warranty period, SWTCH will, at its sole discretion, and as the exclusive remedy for the warranty failure, repair or replace defective equipment. Warranty services may be performed at a location determined by SWTCH and may include temporary patches, solutions, or usage restrictions.
The warranty above does not cover defects or damage resulting from improper handling, installation, storage, misuse, unauthorized modifications, or external factors beyond SWTCH’s control. SWTCH does not warrant that any equipment will operate without interruption or error and SWTCH does not warrant any non-returnable items. Certain non-returnable items supplied by SWTCH may be covered by a manufacturer’s warranty. Where applicable, such warranties are provided by the manufacturer only and SWTCH provides no independent warranties with respect to such products or services.
7. Turnkey Projects and Installation
If SWTCH is coordinating installation services, customer acknowledges and agrees that any changes to the original scope of installation, whether requested by the customer or required by site conditions, may result in additional charges. SWTCH reserves the right to amend the scope of work and to invoice the customer for all associated costs and customer agrees to pay the same.
8. Right to Register Lien or Security Interest
Customer acknowledges and agrees that SWTCH shall retain a security interest (or equivalent lien/charge in the applicable jurisdiction) in all equipment, products, and accessories supplied to the customer, until the full purchase price and any other charges payable by the customer have been paid in full. Customer agrees to execute any financing statements, security agreements, or other documentation required by SWTCH to perfect or maintain any such security interest or lien. Customer hereby irrevocably appoints SWTCH as its agent and attorney-in-fact to execute, deliver, and file all such documents and to take all necessary steps to perfect, protect, and enforce SWTCH's security interest or lien.
